Terms of Service.

By accessing tensectra.com, submitting any form, purchasing any product, enrolling in any programme, or engaging our consultancy services, you (“Client,” “you,” or “Buyer”) agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

These Terms are governed by the laws of the Federal Republic of Nigeria. Questions: hello@tensectra.com

1. Description of Services

Tensectra provides the following services:

  • TensectraKit (Infrastructure Kit) — A .NET 8 software scaffold providing a starting enterprise architecture: source code, patterns, and documentation. Licensed software, not a finished product.
  • Cohort Programmes — Six-week live training programmes covering backend engineering (.NET 8), frontend engineering (Next.js), and mobile development (React Native / Expo).
  • Pro Membership — A subscription granting access to all current and future courses, updated reference materials, and community resources.
  • Consultancy and Corporate Training — Bespoke architecture review, system design, code consultancy, and team training engagements.

2. TensectraKit — Licence Terms

2.1 Licence grant

Upon confirmed payment, Tensectra grants you a non-exclusive, non-transferable, worldwide licence to use TensectraKit source code (“the Scaffold”) subject to the conditions below. The Scaffold is licensed, not sold.

2.2 What you may do

  • Use the Scaffold as the foundation for any number of your own commercial or non-commercial software projects
  • Modify, extend, and adapt the Scaffold code for your own projects
  • Use the Scaffold to build systems for clients you are engaged by as a developer or contractor
  • Retain all intellectual property rights in custom code you write on top of the Scaffold

2.3 What you may not do

  • Resell, redistribute, sublicense, or publish the Scaffold (or any substantially similar derivative) as a standalone template, starter kit, or scaffold for others to download or purchase
  • Publish the Scaffold source code publicly on GitHub, NuGet, or any public repository without significant transformation that removes the original scaffold structure
  • Use the Scaffold as the primary basis for a competing scaffold, template, or developer starter product
  • Transfer your licence to any third party without Tensectra’s prior written consent
  • Remove or obscure Tensectra copyright notices embedded in the source code

2.4 No warranty on systems you build

The Scaffold is a starting architecture. You are solely responsible for any production system you build using it, including its security, performance, scalability, compliance, and reliability. Tensectra is not responsible for outcomes in systems built using the Scaffold.

3. Cohort Programmes — Enrolment and Cancellation

3.1 Enrolment

A seat is confirmed upon receipt of full payment. Seats are limited and allocated in order of confirmed payment.

3.2 Cancellation by you

  • Cancellation more than 14 days before programme start — full refund, less a 5% processing fee
  • Cancellation 7–14 days before programme start — 50% refund
  • Cancellation less than 7 days before programme start — no refund
  • No-show without prior notification — no refund

3.3 Cancellation or rescheduling by Tensectra

If Tensectra cancels a programme before it commences, you will receive a full refund or the option to transfer to the next available session. Tensectra reserves the right to reschedule a cohort if minimum enrolment is not reached. You will be offered the new dates or a full refund.

3.4 Programme materials

All cohort materials, recordings, code walkthroughs, and documentation are for your personal learning use only. You may not share, redistribute, publish, or resell materials without Tensectra’s written permission.

3.5 Code of conduct

Participants must engage respectfully and professionally. Tensectra reserves the right to remove a participant from a programme without refund for conduct that is abusive, disruptive, or harmful to other participants or instructors.

4. Pro Membership

  • Pro Membership is a recurring subscription (monthly or annual as selected). You authorise Tensectra to charge the applicable fee at the start of each billing period.
  • You may cancel at any time. Cancellation takes effect at the end of the current billing period. Access continues until the period you have paid for ends.
  • We do not offer refunds for partial billing periods.
  • Pro membership grants a personal, non-transferable licence to access and use Pro content for individual professional development. Pro content may not be shared, resold, or distributed.

5. Consultancy Services

5.1 Statement of Work

All consultancy engagements are governed by a Statement of Work (SOW) agreed in writing before work commences. The SOW defines scope, deliverables, timeline, and fees. Nothing in these Terms creates an obligation on Tensectra to accept any consultancy engagement.

5.2 Payment terms

Standard payment terms are 50% deposit before work begins and 50% on delivery of final deliverables, unless otherwise specified in the SOW.

5.3 Intellectual property

Code and systems Tensectra creates specifically for your engagement, beyond the Scaffold, belong to you upon receipt of final payment. Tensectra retains all rights to the underlying Scaffold, pre-existing architectural patterns, and general-purpose reusable code. Tensectra may reference the engagement type as an anonymised case study unless you request otherwise in the SOW.

5.4 Confidentiality

Each party agrees to keep confidential any proprietary, technical, or business information received from the other party in connection with an engagement. This obligation survives termination for three years.

6. Payment Terms

  • All prices are in United States Dollars (USD) unless stated otherwise
  • TensectraKit and other one-time products are charged at time of purchase
  • Cohort programme fees are charged in full to confirm enrolment
  • Payments are processed via Tensectra’s approved payment providers
  • You are responsible for any taxes applicable in your jurisdiction
  • In the event of a billing dispute, contact hello@tensectra.com before initiating a chargeback. Unwarranted chargebacks may result in suspension of access

7. Intellectual Property

All content on tensectra.com, including text, code examples, course materials, architecture diagrams, and the TensectraKit scaffold, is the intellectual property of Tensectra unless otherwise stated. You may not reproduce, republish, or distribute Tensectra content without express written permission, except as permitted under your applicable licence.

The Tensectra name, logo, and brand elements are proprietary. You may not use them to imply affiliation, endorsement, or authorisation without prior written consent.

8. Acceptable Use

You agree not to:

  • Use Tensectra materials to develop or train a competing AI model or competing educational product
  • Misrepresent your affiliation with or endorsement by Tensectra
  • Submit fraudulent purchase information or use stolen payment methods
  • Attempt to gain unauthorised access to any Tensectra system or account
  • Use our services in any manner that violates applicable laws or regulations

9. Disclaimer of Warranties

Tensectra’s services, products, and content are provided “as is” and “as available.” To the maximum extent permitted by applicable law, Tensectra disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Scaffold will be error-free, continuously available, or suitable for your specific production use case.

10. Limitation of Liability

To the maximum extent permitted by law, Tensectra’s total liability to you for any claim shall not exceed the total amount you paid to Tensectra for the specific product or service giving rise to the claim in the twelve months preceding the claim.

Tensectra shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of data, revenue, profits, or business opportunity
  • Production outages, security incidents, or compliance failures in systems you build using the Scaffold
  • Any claim arising from your use of third-party services (OpenAI, Azure, Stripe, etc.) in conjunction with Tensectra products

11. Indemnification

You agree to indemnify and hold harmless Tensectra, its directors, employees, and agents from any claim, damage, or expense (including reasonable legal fees) arising from your use of our products or services in violation of these Terms, your violation of applicable law, or any system you build and deploy using the Scaffold.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria.

Dispute resolution process

  1. Good faith negotiation — Either party may notify the other of a dispute in writing. Both parties shall attempt resolution within 30 calendar days through direct negotiation.
  2. Mediation — If negotiation fails, both parties agree to attempt mediation before pursuing further action.
  3. Arbitration — If mediation fails, disputes shall be resolved by binding arbitration under the Arbitration and Conciliation Act of Nigeria, with the seat of arbitration in Lagos, Nigeria.

Both parties consent to the exclusive jurisdiction of courts in Lagos, Nigeria for enforcement of any arbitral award or injunctive relief.

13. Modifications to These Terms

Tensectra reserves the right to modify these Terms at any time. Material changes will be communicated via email to registered users at least 14 days before taking effect. Your continued use of our services after the effective date constitutes acceptance of the updated Terms. If any provision is found to be invalid or unenforceable, the remaining provisions remain in full force.
